Location: Noida, India
We are seeking a qualified and experienced Company Secretary to join our team in Noida. The ideal candidate will ensure the company complies with all statutory and regulatory requirements, manage corporate governance, and provide strategic support to the senior leadership team.
Ensure compliance with Companies Act, RBI regulations, SEBI, and other regulatory authorities.
Organize and prepare agendas, board packs, and minutes for Board meetings, AGMs, and committee meetings.
Maintain statutory books, including registers of members, directors, and secretaries.
File necessary documents with ROC (Registrar of Companies) and ensure timely compliance.
Draft and review legal documents, resolutions, and other corporate documentation.
Liaise with external regulators and advisers such as lawyers and auditors.
Ensure proper governance standards and support board decision-making with relevant legal and financial insight.
Handle secretarial audits and internal policy documentation.
Support fundraising and investment processes from a legal and compliance standpoint.
CS qualification from ICSI (Institute of Company Secretaries of India) is mandatory.
LLB (optional but preferred).
3–6 years of experience in a similar role, preferably in a financial services or fintech company.
Strong understanding of corporate law, RBI regulations, and secretarial practices.
Excellent communication and organizational skills.
Proficient in Microsoft Office and compliance software/tools.
High level of integrity, discretion, and professionalism.
