Job Description -
- To ensure compliance with Corporate Governance, applicable Regulatory compliances under, FEMA, Labour Laws other statutes and to identify and prevent any non-compliance so as to safeguard interest Purpose of the job: of the company and directors;
- Identify and suggest to the management about any regulatory changes applicable to the companies and ensure compliance and also advise any corrective actions for existing defaults.
Accountabilities:
* The position will co-ordinate with all the entities across the country (India) on legal and compliance matters.
Report to management on a monthly/quarterly basis on compliance updates and lacking, in order to lessen the future risk
Develop a check list for finance& legal department personnel to ensure efficient compliance with various legal obligations.
Responsibilities:
- To coordinate with local Tax and Legal Managers to ensure compliance on a regular basis with applicable regulations to minimize any penalty, etc. for non-compliance
- To update Senior Manager, Tax and Legal on regular interval about changes in local laws and legal compliance of the organization and bring any serious matter to consideration.
- Preparation of drafts of various deeds and agreements as per the requirement of the Commercial conducts of the business and finalization of same in consultation with the Senior Manager, Tax and Legal.
- Oversee and ensure compliance of Trust and Investment companies of Shareholders with Corporate Law, RBI and other regulatory agencies.
- To ensure timely meetings of the Board and Shareholders of all entities of Dimexon. To minute Dimexon Group company and shareholders meetings.
- Ensure the Board receives timely, accurate and complete briefing notes for adequate review of all Statutory and Business Related matters obligated, mandated or desired by the Board and Senior Manager, Tax & Legal.
- Ensure proper documentation, custody and title deeds of assets of the company and actively assist Senior Manager, Tax & Legal for regularization.
Educational Qualification | Qualified Company Secretary
Functional Skills -
- Update on Corporate and legal laws , Familiar with Accounting Standards, IFRS and Tax laws
- Experience of law enforcing authorities like Registrar of Companies, Department of Company Affairs, etc.
- Ability to deal with transactions of the company
- Presentation Skill
- Interpersonal Skill
- Communication Skill (Verbal / Written)
- Grievance Handling Skill
- Multitasking
- Ability to coordinate with people of different level.
